By accessing or using the services provided by DeltaVPC Science L.L.C. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

DeltaVPC Science L.L.C. provides data center management, colocation, cloud solutions, IT consulting, technical support, and related infrastructure services. The specific services, features, and pricing will be detailed in your individual service agreement.

3. User Responsibilities

As a user of our services, you agree to:

  • Provide accurate and complete information when requested
  • Maintain the security of your account credentials
  • Use our services in compliance with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose
  • Notify us promptly of any security breaches or unauthorized access

4. Acceptable Use Policy

You may not use our services to:

  • Host or transmit malicious software, spam, or phishing content
  • Engage in any activity that disrupts or interferes with our services
  • Violate the intellectual property rights of others
  • Store or process illegal content
  • Attempt to gain unauthorized access to our systems or other users' data

5. Payment Terms

Payment terms will be specified in your individual service agreement. Generally:

  • Invoices are due within 30 days of receipt unless otherwise agreed
  • Late payments may incur interest charges
  • We reserve the right to suspend services for non-payment
  • All prices are in US Dollars unless otherwise specified

6. Service Level Agreement (SLA)

Our standard SLA guarantees 99.9% uptime for our infrastructure services. Specific SLA terms, including response times and service credits, will be detailed in your service agreement. SLA credits are the sole and exclusive remedy for any failure to meet the SLA.

7. Data and Privacy

Your use of our services is also governed by our Privacy Policy. You retain ownership of your data. We will not access your data except as necessary to provide our services or as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, DeltaVPC Science L.L.C. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless DeltaVPC Science L.L.C. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

10. Termination

Either party may terminate services with 30 days written notice, unless otherwise specified in your service agreement. We reserve the right to terminate services immediately for violation of these terms or non-payment.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Denver, Colorado.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
